Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Geotechnical Toolkit Pty Ltd (ABN 65 685 887 996) ("NoticeFlow", "we", "us", "our") covering your use of the NoticeFlow software-as-a-service ("Service"). By creating an account, you accept these Terms. If you do not accept them, do not use the Service.
1. What NoticeFlow does
NoticeFlow lets you generate personalised emails and PDF attachments from a CSV and send them in one of two ways:
- From your own mailbox. You connect your Gmail or Microsoft account via OAuth and NoticeFlow sends each campaign through it on your behalf. We don't store mailbox content; we only hold the OAuth refresh token (encrypted at rest) required to make sends.
- Via NoticeFlow's transactional service. If you can't or don't want to connect a mailbox (common in admin-managed corporate tenants), NoticeFlow sends through our own transactional email infrastructure (currently provided by Resend). The “From” address is controlled by NoticeFlow; the “Reply-To” header is set to your NoticeFlow account email so replies route back to you.
2. Eligibility
You must be at least 18 years old and able to enter into a binding agreement. You must comply with all laws applicable to you and the recipients of your campaigns.
3. Your account
You are responsible for keeping your account credentials secret, for all activity under your account, and for the accuracy of the information you provide. Notify us at support@noticeflow.ai as soon as you suspect unauthorised access.
4. Paid plans and billing
- Plans. The Service is offered as a free 10-email trial, a one-off "Single Campaign" purchase (one campaign of up to 500 emails, used within 30 days of purchase), a monthly Business subscription (5,000 emails / month, unlimited campaigns), or one-off overage packs of 1,000 emails (available only to active Business Monthly subscribers, expire at the end of the calendar month in which they are purchased). All prices are in Australian Dollars (AUD) and include GST where applicable.
- Payment. Payments are processed by Stripe. By providing payment details, you authorise Stripe (and us) to charge them for the applicable fees.
- Automatic renewal. Business Monthly subscriptions renew automatically each month at the prevailing rate until you cancel. You can cancel any time via the Stripe customer portal linked from your dashboard. Cancellation takes effect at the end of the current billing period.
- Refunds. Except where required by Australian Consumer Law, fees for sent emails are non-refundable. Unused subscription credits do not refund or roll over on cancellation. A "Single Campaign" purchase entitles you to one campaign of up to 500 emails and must be used within 30 days of purchase — after that period it expires and is non-refundable.
- Price changes. We may change prices with 30 days' notice to active subscribers. You may cancel before the change takes effect if you don't accept it.
5. Your content
You retain ownership of everything you upload — CSV files, recipient lists, email templates, DOCX templates, signatures, and the rendered PDFs. By using the Service, you grant us a limited licence to process and store this content solely to deliver the Service to you. We do not sell, share, or use your content for any other purpose (see our Privacy Policy).
6. Acceptable use
You are solely responsible for the emails you send through NoticeFlow.
6.1 Prohibited content
You must not use the Service to send any of the following content, and we will immediately suspend or terminate your account without refund if we reasonably believe you have done so:
- Illegal content of any kind under Australian law or the law of the recipient's jurisdiction, including but not limited to: child sexual abuse material, terrorism or violent extremism, incitement to violence, trafficking, illegal drugs, or unlawful weapons sales.
- Violence, threats, or harassment directed at any individual or group. This includes content that promotes, glorifies, or instructs in physical harm, doxxing, stalking, or intimidation.
- Hate speech targeting people based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, or any other protected characteristic.
- Sexual content involving minors, non-consensual sexual content, or material that exploits or endangers children. Reports to law enforcement are mandatory.
- Phishing, deception, and impersonation: emails designed to harvest credentials, impersonate another person or organisation, mislead recipients about the sender's identity, or spread malware.
- Spam and unsolicited commercial messages in violation of the Spam Act 2003 (Cth), CAN-SPAM Act (US), GDPR / PECR (EU/UK), or any equivalent law. You must have express or inferred consent from every recipient and provide a working unsubscribe mechanism where legally required.
- Fraud and financial scams: pyramid schemes, MLM recruitment, advance-fee fraud, fake invoicing, unlicensed financial advice, illegal gambling, or unregistered securities offerings.
- Defamatory or infringing content: false statements that harm reputation, content that infringes third-party copyrights, trademarks, or personal rights without authorisation.
- Content prohibited by your mailbox provider (Google's Acceptable Use Policy, Microsoft's Acceptable Use Policy, etc.) when sending through your own connected Gmail or Microsoft account.
6.2 Reporting and enforcement
Report suspected abuse, spam, phishing, or other policy violations sent via NoticeFlow to abuse@noticeflow.ai. Reports are reviewed and actioned within 5 business days, and typically within 24 hours for phishing, malware, or clear illegal-content reports. We may, at our sole discretion:
- Suspend or terminate the sender's account without refund.
- Forfeit any unused email credits, including Single Campaign credits and Overage packs.
- Cooperate with law-enforcement, regulators, or affected platforms, including sharing relevant account and content data.
- Notify mailbox providers (Google, Microsoft) of policy-violating sends made through their connected mailboxes.
6.3 Your responsibility
You acknowledge that:
- You — not NoticeFlow — are the legal sender of every email you create through the Service. Liability for content rests with you.
- NoticeFlow performs automated safety checks on every outgoing campaign, including link scanning against known-bad-domain lists and mid-send bounce-rate monitoring. Campaigns that trigger these checks are paused or rejected automatically. NoticeFlow does not manually reviewemail content unless a campaign is flagged by these automated systems, by a recipient complaint, or by an abuse report.
- Repeated or severe violations may result in permanent ban and being reported to email blocklist operators and law enforcement.
7. Mailbox provider terms
Sending through Gmail or Microsoft requires you to grant NoticeFlow OAuth permission via your provider. You acknowledge that:
- Your provider's rate limits, sending caps, and acceptable use policies apply to every send. NoticeFlow cannot override these.
- Suspicious sending patterns may trigger your provider to throttle, suspend, or close your mailbox. You are responsible for the consequences.
- You can revoke our access at any time from your provider's account settings.
8. Service availability
We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. Scheduled maintenance will be announced where practical.
9. Disclaimers and limitation of liability
To the maximum extent permitted by Australian law:
- The Service is provided as is, without warranties of any kind. We don't warrant that emails will reach inboxes, that recipients will read them, or that the Service will be free from defects.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.
- Our total aggregate liability arising out of or relating to the Service is limited to the greater of: (a) the fees you paid us in the 12 months prior to the claim, or (b) AUD $100.
- Nothing in these Terms excludes, restricts, or modifies any consumer guarantees under the Australian Consumer Law that cannot lawfully be excluded.
10. Indemnity
You agree to indemnify and hold us harmless against any claim, loss, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms, (b) the content of campaigns you send, (c) your violation of any law or any third party's rights, or (d) misuse of recipient data you upload.
11. Termination
You may delete your account at any time. We may suspend or terminate your account for material breach of these Terms or for non-payment. On termination, your access ends; your data may be deleted after 30 days unless we're legally required to retain it.
12. Changes
We may update these Terms. Material changes will be communicated to active users at least 30 days before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and Australian courts of appeal from those courts.
